Terms of Service

These Terms of Service (“Terms”) govern your access to and use of rova_code (the “Service”), operated by Rovaweb LLC (“Rova,” “we,” “us,” or “our”). Please read them carefully.

1. Acceptance of these Terms

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years old (or 16 where required by law) to use the Service. By using the Service, you represent that you meet this requirement and that you are able to form a binding contract with Rova.

3. Accounts and security

You are responsible for the information you provide and for all activity under your account. Keep your password and credentials confidential, and notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or pose a security or legal risk.

4. Acceptable use and prohibited conduct

You agree not to:

  • send spam, unsolicited promotions, or repetitive or misleading content;
  • scrape, crawl, or harvest data from the Service except as expressly permitted, or use bots to access the Service without authorization;
  • harass, threaten, defame, or discriminate against other users, or post hateful, abusive, or unlawful content;
  • infringe the intellectual property, privacy, or other rights of others, including posting content you do not have the right to share;
  • upload malware, attempt to gain unauthorized access, disrupt the Service, or circumvent security or rate limits;
  • impersonate any person or entity or misrepresent your affiliation; or
  • use the Service for any illegal purpose.

5. User content and license

You retain ownership of the content you create or submit (“User Content”), including project pitches, descriptions, code links, files, comments, and profile information. By submitting User Content, you grant Rova a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute that content as necessary to operate, provide, and promote the Service. This license ends when you delete your User Content or account, except for content others have relied on (for example, contributions to shared projects) and for reasonable backup retention.

You are solely responsible for your User Content and represent that you have the rights necessary to grant the license above.

6. Project collaboration

rova_code is a platform that helps people find each other and collaborate on projects. Rova is not a party to any collaboration, agreement, or arrangement between users. We do not employ users, guarantee any job, internship, outcome, or result, and do not vouch for the conduct, skills, or reliability of any user. Teammate ratings and reviews reflect the opinions of individual users, not Rova, and you should use your own judgment when choosing collaborators.

7. Client and business projects; budgets and payments

Businesses and clients may post projects that include budgets or compensation. Any such budget, payment, or compensation arrangement is strictly between the users involved. Rova does not process payments, hold funds, act as an escrow, or collect or disburse money for projects, and is not responsible for any payment, non-payment, or financial dispute between users. Budgets displayed on the Service are informational only. You are responsible for any taxes, agreements, and legal obligations arising from your collaborations.

8. Third-party services

The Service integrates with third-party services such as GitHub and Google. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services or their availability.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT IS ACCURATE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROVA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS BEFORE THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Rova and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your User Content, your collaborations with other users, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

13. Governing law

These Terms are governed by the laws of the State of [STATE OF FORMATION], without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in that state for any dispute that is not subject to arbitration or small-claims resolution.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
